1. General Terms
Welcome to XinWoRen ("the Platform"), operated by XINWOREN PTE. LTD. (Singapore), with in-market services in China provided by Guangzhou XinWoRen Technology. We are an AI-driven global digital content marketplace connecting creators with buyers.
By using this platform you agree to these Terms of Service. If you disagree, please discontinue use.
2. Platform Role & Disclaimer
The Platform acts solely as a neutral marketplace facilitator.
- •The Platform provides technical infrastructure and marketplace services only. All digital content (including but not limited to images, videos, music, text, code, models) is uploaded, published, and sold by sellers (creators).
- •The Platform does not guarantee the legality, authenticity, accuracy, completeness, or copyright ownership of seller-uploaded content, but operates automated compliance detection to identify obvious anomalies. Sellers bear full responsibility for the authenticity, legality, and copyright ownership of their uploaded content.
- •The Platform does not participate in seller operations: we do not control pricing, individually review content originality, or make business decisions on sellers' behalf. Automated systems detect and handle obvious violations.
- •The Platform is not liable for any third-party claims, losses, or damages arising from seller conduct.
2.6 AI-Generated Content Statement
- 2.6.1 Tool Nature Statement:XinWoRen Studio is an auxiliary creation tool using built-in AI models (e.g., GPT-4o, Claude) to help users generate content. The Platform does not own or claim any rights to AI-generated content.
- 2.6.2 Content Ownership:Copyright ownership of content generated using XinWoRen Studio is the sole responsibility of the user. Users must comply with the terms of use of the underlying AI model providers and bear all resulting liability.
- 2.6.3 Platform Disclaimer:The Platform makes no warranty regarding: originality of AI-generated content (may resemble or duplicate training data); non-infringement of third-party rights; fitness of AI-generated content for any commercial use; stability or accuracy of AI-generated output.
- 2.6.4 Creator Responsibility Agreement:By using XinWoRen Studio, creators agree: they are the sole responsible party for the content; they have read and comply with all applicable AI model provider terms; they will not use AI-generated content for illegal purposes; any third-party claims regarding AI-generated content are handled by the creator alone, with no involvement from the Platform.
AI Service Declaration
The AI capabilities provided on this platform (including but not limited to text, image, video, and audio generation) are powered by third-party providers including SiliconFlow, DeepSeek, NVIDIA, OpenRouter, ByteDance, and others. The display names shown on the frontend do not affect the attribution of actual service providers. The full list of supported models can be found on the relevant platform pages.
3. User Responsibilities
3.1 Seller Responsibilities
- Ensure all uploaded content has full intellectual property rights or proper licensing
- Ensure content does not infringe third-party copyright, trademark, patent, privacy, or other legal rights
- Ensure content contains no illegal or prohibited material (pornography, violence, hate speech, defamation, fraud, etc.)
- Bear full legal responsibility and indemnification for infringement or violations
- Provide accurate and complete product information per platform guidelines
3.2 Buyer Responsibilities
- Abide by license agreements and usage restrictions of purchased products
- Do not resell purchased digital content or redistribute without authorization
- Respect creators' copyright and attribution rights
4. Copyright Infringement & DMCA Takedown
This platform complies with the US Digital Millennium Copyright Act (DMCA), EU E-Commerce Directive, and equivalent safe-harbor principles.
If you believe content on the platform infringes your copyright, follow this process:
- Submit via the in-platform infringement channel: log in → product detail page → click "Report Infringement"
- Your report must include:
- Electronic or physical signature of the rights holder / authorized agent
- Complete description of the infringed work and original source link
- Specific location (URL) of allegedly infringing content on the platform
- Your contact information (email, phone, address)
- A statement of good-faith belief that the use is not authorized
- A statement that the information is accurate, under penalty of perjury
Platform commitment: Upon receiving a valid complaint, the platform will process it per DMCA procedures, including temporarily removing allegedly infringing content and notifying the uploading seller. The Platform will cooperate with rights holders and law enforcement on further matters.
5. Payments & Settlement
XinWoRen is an AI-powered digital content marketplace connecting creators and buyers worldwide. The Platform provides transaction matching, payment processing, and technical infrastructure for transacting parties, and charges a service fee (commission) accordingly. The Platform does not participate in the negotiation or fulfillment between buyers and sellers and makes no express or implied warranty as to the quality, timeliness, or fitness of any delivered work; transaction risks are borne by the parties per their agreement.
The platform charges transaction commissions based on seller shop tier, deducted from the transaction amount: Free 18%, Pro 18%, Business 15%, Enterprise 12%. Buyers pay the product price with no additional platform service fee. See the pricing page.
Services on the Platform follow three pricing models with distinct payment and fulfillment arrangements: (1) Subscription (tools, retainer services): the payment provider periodically charges the service provider directly; the Platform only deducts commission by shop tier and never holds buyer funds. (2) Custom/deposit: only the agreed deposit ratio (30% or 50%) is temporarily collected by the Platform as a payment pass-through; upon delivery confirmation by the buyer, the remaining balance is settled directly to the provider. (3) One-time: optional full-order escrow, settled after completion. Except for funds explicitly collected as a payment pass-through, the Platform does not hold buyer funds.
5.1 Settlement & Withdrawals
- Settlement cycle and threshold: The Platform settles on a unified monthly calendar basis, paying out to your payout account on the 15th of the following month, with a minimum withdrawal of USD 100; balances below the threshold are automatically carried forward to the next settlement cycle.
- Fees: Standard monthly withdrawals are fee-free. Enterprise sellers may opt for the expedited payout add-on, charged at 0.8% per request (minimum USD 3, capped at USD 30), disclosed upfront and deducted from the net amount.
- Expedited limit: Expedited payouts are limited to once per calendar week; once the weekly quota is used, only standard monthly settlement is available until the next calendar week.
- Risk control gates: Expedited payout is available only to sellers with a good settlement record, a dispute/chargeback rate within the Platform's acceptable range, and completed identity/business verification (KYC/KYB). Newly opened sellers, those with disputes or chargebacks, or those on sanctions lists are automatically excluded until risk review passes.
- FX settlement obligation: USD-denominated payouts involve cross-border settlement. Sellers must provide a valid payout account and receiving details (such as an applicable WorldFirst receiving ID or Stripe Connect account) and cooperate with the identity and compliance verification required for settlement. Any delayed or failed payment caused by the seller's failure to provide, misprovision, or late supplementation of information is borne by the seller.
6. Prohibited Conduct & Automated Enforcement
- Uploading infringing, pirated, or unauthorized content (including plagiarism and content theft)
- Uploading content violating applicable laws (pornography, violence, hate speech, fraud, etc.)
- Manipulating ratings, reviews, or sales data (fake transactions)
- Using the platform for money laundering, fraud, or other illegal activities
- Attempting to circumvent platform transaction flow for off-platform trading (fee avoidance)
- Any technical behavior disrupting platform operations (crawling, hacking, injection attacks)
- The Platform uses automated content matching and AI-powered moderation systems for enforcement. The Platform has sole discretion to interpret and enforce these terms.
7. Account Termination & Asset Forfeiture
The Platform reserves the right to immediately suspend or terminate accounts, remove infringing content, freeze and confiscate all pending settlements, StarCoins, and credits held in the violating account, and report violations to law enforcement when users violate these terms. The Platform may also seek damages and legal costs from the violating party. The Platform has sole discretion to interpret and enforce these terms. Automated systems may be used for enforcement without prior human review. Appeals are processed through the platform's dispute resolution procedure.
8. Governing Law & Dispute Resolution
These Terms are governed by the laws of Singapore. Disputes shall first be resolved through friendly negotiation; failing that, through arbitration at the Singapore International Arbitration Centre (SIAC).
